Terms and Conditions
Effective date: 26th August 2025These Terms and Conditions ("Terms") govern your access to and use of the Motor Connect Limited platform ("Portal"). By registering for and using the Portal, you agree to be bound by these Terms. If you do not agree, you must not use the Portal.
1. About Motor Connect
Motor Connect Limited provides an online platform for Registered Motor Vehicle Traders (RMVTs) in New Zealand to list, buy, and sell vehicles ("Services"). Access may also be granted to other approved businesses in the automotive industry (including wholesalers, finance providers, or service companies).
This is a business-to-business (B2B) platform. Private sales or consumer transactions are not permitted, and the Consumer Guarantees Act 1993 does not apply.
2. Eligibility and Account Requirements
- Access is restricted to verified RMVTs and other approved businesses. Verification may require screenshots, documentation, or checks against NZTA's dealer database.
- Accounts are non-transferable and may only be used by the authorised personnel of the verified business.
- You are responsible for maintaining the security of your account and for all activity conducted under it.
- You warrant that all information provided at registration, or updated thereafter, is accurate, complete, and current. You must promptly notify Motor Connect of any changes.
- Motor Connect may decline, suspend, or terminate access at its discretion.
3. Subscription Fees and Payments
- Subscriptions are billed in 30-day periods and automatically renew unless cancelled. "Pay as you go" model will result in an invoice being sent to the seller of the vehicle upon the completion of the sale on the platform.
- Fees are payable in advance and are exclusive of GST unless stated otherwise.
- One plan is required per dealership site; enterprise arrangements may be made for multiple sites.
- Non-payment may result in suspension or termination of access. Motor Connect reserves the right to recover unpaid fees, including via legal action.
- No refunds are issued for unused portions of a subscription except as required by law.
4. Use of the Portal
- Listings must be accurate, lawful, and only for vehicles you are authorised to sell.
- You must not submit any false, misleading, defamatory, or unlawful material.
- All activity must be in good faith. Motor Connect may remove listings or suspend accounts for breaches.
- You must comply with intellectual property laws and may not copy, reproduce, or misuse any content on the Portal.
5. Transactions Between Traders
All transactions occur directly between traders. Motor Connect does not:
- Process or hold payments;
- Guarantee vehicle condition, listing accuracy, or completion of any transaction;
- Provide refunds or reverse transactions.
Vehicles are sold strictly on an "as is, where is" basis. Buyers and sellers are responsible for their own due diligence, including inspections, verifying registration, PPSR checks, and any other relevant checks.
Reliance on images or descriptions in listings is at your own risk.
6. Deal Commitments and Good Faith
- Members are expected to honour agreements to buy or sell vehicles.
- Failure to complete a transaction without valid reason may result in account suspension.
- Repeated failure to honour transactions may lead to permanent account termination without refund.
- Motor Connect retains sole discretion to determine whether a failure is deliberate or valid.
7. Fees and Refunds
- All subscription and service fees are non-refundable except where required by law or at Motor Connect's discretion.
- Members are responsible for paying all fees on time. Motor Connect may take legal or other reasonable steps to recover overdue amounts.
8. Data, Security, and Privacy
- Dealer information is stored securely on Digital Ocean servers with appropriate safeguards.
- Personal information is collected solely for verification and account purposes and will not be sold or shared with third parties.
- Members are responsible for maintaining account security, including keeping passwords confidential.
- Motor Connect may introduce marketing or advertising features in the future without sharing personal data. For more details, see our Privacy Policy.
9. Termination of Access
Motor Connect may suspend or terminate accounts immediately if:
- Terms are breached;
- The Portal is misused; or
- Transactions are not completed in good faith.
Members may cancel subscriptions at any time; access will continue until the end of the current billing cycle. Terminated members are prohibited from creating new accounts without prior written approval.
10. Limitation of Liability and Indemnity
The Portal and Services are provided "as is" without warranties of any kind, express or implied.
Motor Connect is not liable for:
- Direct, indirect, incidental, or consequential losses;
- Loss of profit, business, goodwill, or opportunity;
- Any disputes arising between members.
You agree to indemnify Motor Connect against any claims, losses, or expenses arising from your use of the Portal, transactions, or breaches of these Terms.
11. Intellectual Property
- All Portal content, design, and workflows are the property of Motor Connect or its licensors.
- Members may not copy, replicate, reverse-engineer, or create competing services.
- Confidential information accessed through the Portal must not be disclosed or misused.
12. Force Majeure
Motor Connect is not liable for delays or failures caused by events beyond reasonable control, including but not limited to:
- Natural disasters, IT failures, cyber attacks, labour disputes, or government actions.
13. Governing Law
These Terms are governed by New Zealand law. Disputes must be resolved exclusively in New Zealand courts.
14. Changes to These Terms
Motor Connect may update these Terms from time to time. Material changes (including pricing) will be notified at least 30 days in advance. Continued use constitutes acceptance of the revised Terms.
